These terms apply where a customer buys wholly or mainly for business, professional, public-sector, charity or organisational purposes. Consumer terms apply instead where the customer is acting as an individual consumer.
1. Services covered
These terms may cover organisational Ask a VRS, membership, consultancy, remote reviews, assessments commissioned for an adult, training, reports, resources and agreed implementation support. A proposal, quotation, order form, statement of work, licence or data-processing agreement may add service-specific terms.
2. Contract and order of documents
The contract consists of the accepted written scope or order, these terms and any documents expressly incorporated into the agreement. If there is a conflict, a specifically agreed written scope takes priority for that engagement unless the parties expressly agree otherwise.
3. Our standard and scope
We provide the agreed service with reasonable care and skill and within the professional scope described. Recommendations support practical sight-loss practice and decision making. They do not transfer the organisation’s statutory, regulatory, safeguarding, clinical, employment, health and safety, commissioning or management responsibilities to Sensory Visionaries.
4. CQC and regulatory material
Where we refer to CQC expectations, legislation, guidance, inspection themes or evidence, this is practical support to help an organisation examine and improve its own practice. Sensory Visionaries does not act for CQC, accredit a service or guarantee compliance, an inspection rating or any regulatory outcome.
5. Customer responsibilities
The organisation is responsible for giving us timely and accurate information, appropriate access to relevant staff or systems, and any constraints that affect the work. It remains responsible for implementation, staff competence and supervision, and for obtaining legal, clinical or other specialist advice where required.
6. Authority to commission
A person accepting a proposal or placing an order on behalf of an organisation confirms that they have authority to do so or will obtain the required internal approval. Purchase-order or procurement requirements should be raised before work starts.
7. Fees, payment and changes to scope
Fees, payment timing, VAT status where applicable and any agreed expenses are stated in the relevant checkout, quotation or order. Material additions, extra meetings, changed instructions or work outside the agreed scope may require a written variation, revised timetable and additional fee. Applicable statutory late-payment rights are reserved.
8. Organisation membership
Membership provides the benefits and billing period described on the website for the selected plan. Monthly membership renews monthly until cancelled. Annual membership is paid for the stated annual term and renews only on the stated basis. Cancelling renewal prevents the next recurring charge; it does not by itself create a refund for a period already supplied, unless the contract or law requires one.
9. Confidentiality
Each party will take reasonable steps to protect confidential non-public information received through the engagement and use it only for legitimate purposes connected with the work, except where disclosure is authorised or required by law, safeguarding duties or legal proceedings.
10. Data protection
Each party must comply with applicable UK data-protection law. Depending on the service, the parties may act as independent controllers or Sensory Visionaries may process limited personal data on the customer’s instructions. Where Article 28 UK GDPR requires processor terms, appropriate terms will be agreed before that processing begins. The organisation should not provide identifiable or special-category information that is unnecessary for the commissioned purpose.
11. Intellectual property and permitted use
Pre-existing Sensory Visionaries methods, frameworks, templates, training structures, know-how, resource formats, branding and other intellectual property remain ours or the relevant licensor’s. Unless expressly agreed otherwise, customer-specific deliverables may be used internally for the commissioned purpose. Payment does not by itself transfer copyright or permit resale, sublicensing, publication, removal of ownership notices or adaptation into a competing product.
12. Third-party services
Where we recommend or refer to third-party products, software, guidance or services, those third parties remain responsible for their own products, availability, terms and performance. A recommendation does not make us the supplier of that third-party service.
13. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Any engagement-specific limitation or allocation of liability will be stated in the relevant written agreement where appropriate. An insurance policy limit is not a contractual liability limit and is not published here as one.
14. Suspension and termination
Either party may end an ongoing engagement in accordance with the agreed written arrangements. We may pause or end work for material non-payment, serious unlawful or threatening conduct, misuse of intellectual property, withholding of information essential to safe delivery, unmanaged professional or safeguarding risk, or where continuing would require work outside the agreed scope or competence. Fees properly due for work already completed remain payable.
15. Events outside reasonable control
Neither party will treat a delay caused by circumstances genuinely outside reasonable control as deliberate non-performance. The affected party should communicate material disruption and take reasonable steps to reduce its effect.
16. Governing law and disputes
Unless a written contract expressly provides otherwise, these terms and non-contractual disputes connected with them are governed by the law of England and Wales and are subject to the jurisdiction of the courts of England and Wales.
17. Changes to these terms
We may update these website terms for future orders. Changes to an existing engagement only apply where agreed or otherwise permitted by the contract and law.
